Ok, I could be wrong, but I am almost positive that changing your motherboard will require a re-install of the Win XP operating system, or at a minimum a reactivation of the OS. Anytime that the OS notes a "major" change in the system hardware, such as a motherboard change, it will try to do a reactivation. If I remember correctly, you will have up to three times (after doing a "major" hardware change) for the OS to do an automatic reactivation, after the third time, though, you will need to call Microsoft to do it. I don't think that there is any way to get around that. As long as you have your Win XP original install disk, and the product key, you should have no problem with your re-install.

If you have the Win XP install disk, but you've lost or misplaced your product key, there is a way to retrieve the product key from the system prior to doing your mobo change and OS re-install. There are software programs that will assist you in locating the product key on your computer. BTW, the number listed under "My Computer" / "Properties" is not the product key. That is the serial number, and it will not help you in your re-install. If you need instructions on how to retrieve the product key, shoot me an email.

Also, are you sure that it is the memory slot that is bad and not just the memory stick? Have you tried swapping the memory sticks around, or just reinstalling them one at a time to see if the culprit is the slot or a stick? It is worth trouble-shooting that first.
As far as I know, Windows XP is an OS which resides in your harddrive. In other words, changing the motherboard won't affect you in anyway assuming the motherboard isn't a old one that won't detect new harddrives. So as long as you put the harddrive into your new motherboard, it won't have any problems at all.
Theres the short answer and a long answer. This is the short answer.

No it will not be void. I do this all the time for work, it will either;
1. Not require activation.

2. Require activation over the internet.

3. If option 2 doesnt work you will have to call microsoft's activation line which is as of 2 weeks ago 100% electronic. So dont worry about any troubles.
All you do is call the number provided in your activation wizard, when on the phone press 2, then wait a second and 2 again (this will skip you thru the prompts) then it will ask for your product number which isnt the cd key, it is an automatically generated number on the activation wizard. It will then give you back a return key.

The long answer goes along the lines of depends if its OEM or RETAIL, ect ect blah blah. But for your situation regardless of the version of windows, aslong as its a legitimate copy follow my instructions above and you will have no problems.
how many gb total do you want in, because 32-bit oses only get up to 3.8gb
