Upgrade Or a new Desktop..?

I have a Intel 845 GLLY motherboard with Intel P IV (1.7 GHz) and 128 Mb SD RAM, the question is shall I spend some money in upgrading it or..should i go for a new one..
Basically I want a faster processor than what i have ...

take that money and get yourself a new desktop. so that you can have 2 desktop and then get yourself a wireless router so they can share internet. i am taking a wild guess and say that your desktop is limited to the upgrade of a new processor.
Your current PC isn't "Bad", but I'd definitely say buy a new one. Current Dual-core CPU's would be a great thing to have, plus 128MB of RAM is awful for even a few-year-old computer. I would definitely keep the one you have though, it's fast enough as either a second PC or home file server, printer server, or even a media center if you stick in a TV out card, you could use it to play back TV/DVD's.
Build yourself a new one. For what you are going to spend, you will not be able to upgrade it very much.
Usually I love to upgrade before buying anything but in this case. probably either new one or major overhaul.

The biggest thing that I see is that it uses SD Ram. If you had DDR I would say add more RAM and your computer would fly but at 128MB it will be crippled.

Unfortunately SD Ram is really expensive so not really worth upgrading there.

So, if you do upgrade you are looking at a motherboard and CPU upgrade. Not a problem but it is a more complicated upgrade.

IF your case is good/standard
AND your drives are worth keeping
AND your video card is good enough you could look at a motherboard/cpu/ram upgrade.

But probably a whole lot easier to just get a new system.
since it take sdram you are gonna be limited in speed - I wud go for a new computer that takes ddr or ddr2 or even newest ddr3 ram for maximum speed benefits - anything less wud just be a waste of money
Depends what you're using it for.

If it's non-CPU intensive stuff - web surfing and email with some photo apps (and the like) you could just upgrade. Max out your RAM (P4 is is a Gig I think). If you have a single HDD less than 120GB, I would get a second HDD, call it E:\. Transfer all the data you want to keep to the second drive, and reformat/reinstall OS on the first HDD. Reinstall OS and Progs only on C:\ , save all data on E:\

If you're doing CPU intensive stuff - gaming, converting lots of music files, video, CAD, etc. DEFINITELY go with NEW.
