I have a laptop with 40gb HDD, 256 ram.. which is better NTFS or Fat32?

I don't think it matters for a personal laptop. Others may disagree, but having the HD Fat32 allows you to recover data more easily if something goes wrong. NTFS is more secure, but I have never had issues.
The RAM is probably the biggest problem. although 256 is the minimum requirement for XP, i woudl suggest 1gb.
Also rebuilding the laptop would help clean up some of the junk that has been accumulated over the past how ever long.

My laptop is also same (40gb/256ram/ntfs/xp sp2) but runs fine. If I feel that my system is geting slow, what I always did is to format (quick is ok), and put new WinXP. This is my (ultimate) solution.
See your system's specs below.
NTFS allows support of bigger files and more efficient use of drive space than FAT 32, not to mention access restrictions you cannot perform on FAT. Running XP with only 256MB RAM will cause the system to be slow with out factoring the CPU or Hard drive and the file systems. If upgrading is out of the picture consider the following if you rebuild or keep current configuration.
-> Defrag the drive monthly
->Scan the drive weekly with updated virus/spyware scanner
->Remove unused programs through disk clean up (Start->Accessories->System Tools)
-> Disable other programs from starting with MSCONFIG
(Start ->RUN, enter MSCONFIG)
* Keep note of any changes you enable or disable with this program, it can make things unstable and harder to fix if you don't document what you did
